2. Acceptance of Terms

By using our website or engaging our services, you confirm that:

  • The information you provide to us is accurate and complete.

  • You have the authority to enter into an agreement with Dizi Orbit if you are acting on behalf of a company or organization.

3. Project Scope and Services

Before starting a project, Dizi Orbit may provide a quotation, proposal, project brief, or written scope describing the services to be delivered.

The agreed scope may include details such as:

  • Number of pages

  • Design requirements

  • Development requirements

  • Integrations

  • Content requirements

  • Estimated timeline

  • Pricing and payment schedule

  • Number of revisions

Any work outside the agreed scope may be treated as additional work and may incur additional charges.

4. Quotes and Pricing

All quotations provided by Dizi Orbit are based on the project requirements known at the time of quotation.

Unless otherwise stated:

  • A quotation may have a limited validity period.

  • Changes in project requirements may result in revised pricing.

  • Third-party costs may be charged separately.

  • Additional features or functionality requested after project approval may incur additional charges.

  • Taxes, transaction charges, payment gateway fees, hosting fees, domain fees, plugin licenses, software licenses, API charges, and other third-party expenses may be payable by the client unless specifically included in the quotation.

A project will normally begin after the required advance payment or initial payment has been received.

5. Payments

Payment terms will be communicated in the quotation, invoice, proposal, or project agreement.

Depending on the project, payment may be divided into milestones such as:

  • Advance payment before project commencement

  • Progress or milestone payments

  • Final payment before delivery or launch

Dizi Orbit reserves the right to pause work, withhold delivery, or suspend access to project-related services where payments are overdue.

Completed work or services may not be considered fully delivered or transferred until all applicable outstanding payments have been received.

6. Refunds and Cancellation

Refund eligibility depends on the nature and stage of the project and the payment terms agreed with the client.

Because development and design projects involve time, resources, planning, and work performed specifically for a client, advance payments may be non-refundable once work has commenced, except where otherwise agreed in writing or required by applicable law.

If a client cancels a project after work has started, Dizi Orbit may charge for work completed up to the cancellation date and for any approved third-party costs already incurred.

Any refund, where applicable, will be determined based on the project agreement and applicable law.

7. Revisions and Changes

The number of revisions included in a project will depend on the quotation or project agreement.

A revision means a reasonable modification to the agreed design or functionality.

Requests that significantly change the original concept, structure, functionality, or project requirements may be treated as additional work.

Examples of additional work may include:

  • Adding new pages

  • Adding new features

  • Changing the approved design concept

  • Developing new integrations

  • Changing functionality after development

  • Adding new languages

  • Rebuilding completed sections

  • Major redesigns

Additional work may require a new quotation or additional payment.

8. Client Responsibilities

The client is responsible for providing information, content, materials, access credentials, approvals, and feedback necessary for the successful completion of the project.

This may include:

  • Logo and branding materials

  • Website content

  • Product information

  • Images and videos

  • Domain and hosting access

  • Social media or third-party account access

  • Business information

  • Legal policies required for the website

  • Product/service information

  • Timely feedback and approvals

The client confirms that they have the legal right to use any content, images, trademarks, logos, fonts, videos, or other materials supplied to Dizi Orbit.

Dizi Orbit is not responsible for copyright or intellectual property violations resulting from materials supplied by the client.

9. Project Timeline and Delays

Dizi Orbit will make reasonable efforts to complete projects within the estimated timeline communicated to the client.

However, project timelines may be affected by:

  • Delayed client feedback

  • Delayed content or information

  • Delayed approvals

  • Changes in project requirements

  • Third-party service issues

  • Hosting or domain problems

  • Payment delays

  • Technical issues outside our reasonable control

  • Force majeure events

Where delays are caused by the client or a third party, the original estimated completion date may need to be adjusted.

10. Website Content

Unless specifically included in the project scope, Dizi Orbit may not be responsible for creating all website content.

The client is responsible for ensuring that information published on their website is accurate, lawful, and suitable for their business.

This includes:

  • Product descriptions

  • Prices

  • Business claims

  • Legal information

  • Terms of sale

  • Privacy notices

  • Refund policies

  • Contact information

  • Regulatory disclosures

Clients should obtain appropriate legal advice for legal documents required for their business.

11. Intellectual Property

Unless otherwise agreed in writing, Dizi Orbit retains ownership of its pre-existing materials, development frameworks, reusable components, libraries, processes, methodologies, tools, templates, and internal resources.

Upon receipt of full payment, the client may receive rights to use the final website, designs, or deliverables specifically created for the client according to the project agreement.

Third-party software, plugins, themes, libraries, fonts, APIs, stock images, and other licensed materials remain subject to their respective licenses and terms.

Dizi Orbit does not transfer ownership of third-party materials that it does not own.

12. Client Materials

The client retains ownership of content, branding, trademarks, images, data, and other materials supplied by the client.

By providing these materials to Dizi Orbit, the client grants Dizi Orbit permission to use them as reasonably necessary to provide the agreed services.

The client represents that they have the necessary rights and permissions to provide such materials.

13. Third-Party Services

A website or application may depend on third-party services, including but not limited to:

  • Hosting providers

  • Domain registrars

  • Payment gateways

  • Google services

  • Meta services

  • WordPress

  • WooCommerce

  • Plugins and themes

  • APIs

  • Email providers

  • Analytics platforms

  • Cloud services

  • Software libraries

Dizi Orbit is not responsible for changes, interruptions, price increases, security issues, outages, policy changes, or discontinuation of third-party services.

Third-party services are generally governed by their own terms and privacy policies.

14. Domain and Hosting

Where domain registration or hosting is purchased separately, the applicable provider’s terms and conditions will also apply.

Dizi Orbit may assist with domain and hosting configuration where included in the agreed scope.

The client remains responsible for renewing domains, hosting accounts, licenses, subscriptions, and other third-party services unless Dizi Orbit has expressly agreed in writing to manage them.

15. Website Maintenance and Support

Website maintenance, technical support, security updates, backups, content updates, and other ongoing services are provided only where specifically included in a maintenance or support agreement.

Unless otherwise agreed, completion of the original development project does not automatically include unlimited future maintenance or support.

Additional support or maintenance may be charged separately.

16. Website Security

Dizi Orbit takes reasonable measures to develop and maintain websites using appropriate technical practices.

However, no website, application, hosting environment, or internet transmission can be guaranteed to be completely secure.

Dizi Orbit cannot guarantee that a website will never experience:

  • Hacking attempts

  • Malware

  • Security vulnerabilities

  • DDoS attacks

  • Server failures

  • Data loss

  • Third-party security incidents

Clients are responsible for maintaining appropriate credentials, licenses, hosting accounts, and security practices where applicable.

17. Website Performance and Results

Dizi Orbit will make reasonable efforts to build websites according to the agreed technical and design requirements.

However, we do not guarantee specific business results, including:

  • Search engine rankings

  • Number of visitors

  • Sales

  • Leads

  • Revenue

  • Conversion rates

  • Advertising performance

  • Social media engagement

  • Business growth

Results depend on many factors outside our control.

18. Prohibited Use

You agree not to use our website or services for unlawful or fraudulent activities.

You must not use our services to create, distribute, or facilitate content or activities that:

  • Violate applicable laws

Where legally permitted, Dizi Orbit may provide notice before making a legally required disclosure.

20. Portfolio and Marketing Rights

Unless otherwise agreed in writing, Dizi Orbit may display completed work in its portfolio, website, social media, case studies, or promotional materials.

If a client requires the project to remain confidential or does not want the work displayed publicly, this should be agreed in writing before or during the project.

21. Disclaimer of Warranties

Our website and services are provided on an “as available” and “as is” basis to the extent permitted by applicable law.

While Dizi Orbit makes reasonable efforts to provide professional services, we do not guarantee that:

  • The website will always be available.

  • The website will be completely error-free.

  • All third-party integrations will always operate.

  • The website will work with every device, browser, or future software version.

  • Third-party platforms will remain available.

  • The website will achieve specific commercial results.

Nothing in these Terms limits any consumer or statutory rights that cannot legally be excluded.

Upon termination, the client remains responsible for any unpaid amounts relating to work already completed or approved expenses.

25. Force Majeure

Dizi Orbit will not be responsible for delays or failures caused by circumstances beyond our reasonable control.

These may include:

  • Natural disasters

  • Internet or infrastructure failures

  • Cyberattacks

  • Government actions

  • War

  • Civil unrest

  • Strikes

  • Power failures

  • Major third-party service outages

  • Pandemics or similar events

  • Other circumstances beyond our reasonable control

These Terms, together with any applicable quotation, proposal, invoice, project agreement, Privacy Policy, or other written agreement between Dizi Orbit and the client, constitute the agreement governing the relevant services.

If there is a conflict between these Terms and a specific written project agreement, the specific written agreement will generally control with respect to that project.
